Terms and Conditions:
General:

Griffin Effects will be henceforth referred to as "The Company".

This is a legal agreement between you (meaning you as an individual if acting on your own behalf, or the company that you represent if you are acting on behalf of such company) and The Company. By placing an order or making a purchase of a product ("Product") from The Company, you agree to these terms of sale ("Terms") set out below, along with The Company's Legal Policy at http://www.griffineffects.com/content/2-legal-notice and Delivery Policy at http://www.griffineffects.com/content/1-delivery. These Terms may be updated by The Company from time to time, and it is your responsibility to review these Terms each time you make a purchase from The Company. 

All sales of electronic parts are final. All switches and LED's are tested before shipping. All kits are meant for 18 years and older.
IN NO EVENT SHALL The Company BE LIABLE FOR ANY INDIRECT, INCIDENTAL, COLLATERAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL OR SPECIAL
DAMAGES OR LOSSES ARISING OUT OF YOUR PURCHASE OF PRODUCTS AND/OR OUT OF THIS WARRANTY, INCLUDING WITHOUT LIMITATION, LOSS OF USE,
PROFITS, GOODWILL OR SAVINGS OR LOSS OF DATA, MUSIC, ELECTRONIC FILES, OR PROGRAMS THAT MAY HAVE BEEN STORED BY A USER OF THE PRODUCT
EVEN IF GRIFFIN EFFECTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. SOME STATES DO NOT ALLOW THE EXCLUSION OR
LIMITATION OF INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
Some countries have import restrictions on electronic goods. It is the customers responsibility to be informed of their own countries import restrictions. The Company isn't responsible for any losses due to customs seizure.
Items sent in for repair, modification, or any reason will become property of The Company if balances due are not received within 90 days of the time the first invoice/bill was issued. After 90 days, The Company has the right to sell the item(s) to recover any lost funds and/or to settle any debts. All items paid for and not claimed within 90 days will become property of The Company.

The Company accepts no responsibility or liability for inaccuracies in any provided BOM or Parts List provided by The Company.
 
1. Modifications:
1.1. The Company is not responsible for anything that happens to your pedal when modding it or during shipping.  Modifying a pedal that is under warranty will void the manufacturers warranty. Modifications are in no way meant to be a means to repair a pedal. Pedals sent in with modifications installed not by the Company may impede the Company from installing a modification. If this occurs, the Company may have to charge for redoing and/or removing the previously installed modification. The Company has sole discretion of the cost of removing or redoing the previous modification. If a previously installed modification was done by the Company and is stated as compatible with another modification and the previous modification is impeding the installation of the previous modification, the Company will redo the previous modification free of charge. If the previous modification is not stated as compatible, the Company may charge for any additional services to redo the previous modification. By agreeing to the terms of service you authorize the Company to perform modifications as per the Company is contracted to do which may contain modifying the enclosure such as drilling, filing, and/or not solely contained to these methods.

2. Printed Circuit Boards ("PCB's"):
2.1. The Company's modification kits and pcbs are for non-commercial use. Commercial re-sale, distribution or use of artwork without written permission from The Company is strictly prohibited.

3. Modification Kits:
3.1. The Company's modification kits ("kits") are for non-commercial use. Commercial re-sale, distribution or use of artwork without written permission from The Company is strictly prohibited. The Company will do our best to help you fix any problems you have modding/building your pedal and the Company has the sole discretion as to the cost of any said help if any costs occur. Modifying a pedal that is under warranty will void the manufacturers warranty. Modifications are in no way meant to be a means to repair a pedal.

4. Paypal:
4.1. To avoid chargebacks and fraud, The Company only ships to Paypal addresses when Paypal is the chosen form of payment. It is the customers responsibility to maintain a proper Paypal address. The Company is not responsible for parcel shipped to the wrong address unless an error was made in The Company's part.

5. Ordering:

5.1. These Terms shall apply to all orders for Product placed by you to The Company. You acknowledge that the information contained on The Company website may contain technical inaccuracies or typographical errors. The Company's website, all content available on its website, and all related communications are provided on an "AS IS" basis. We make no representations or warranties as to the completeness, accuracy, adequacy or reliability of any information contained on The Company's website.

5.2. To place an order, you must:
  1. provide up-to-date, complete and accurate registration information as requested by us, which may include your first and last name, institution name, mailing address, phone number and email address;
  2. provide up-to-date, complete and accurate credit card information for a credit card that is valid and legally registered to you, or other payment information reasonably acceptable to The Company and/or The Company's payment processor; and
  3. be at all times in compliance with the terms and conditions of this Agreement and applicable law, including the requirement to be 18 years of age or older.
5.3. You specifically agree that The Company may rely on the accuracy of the information provided by you to The Company, and that The Company will have no liability whatsoever, whether to you or to any third party, for any claims or damages resulting from inaccurate information provided to The Company.

5.4. All Products are intended for end-user customers only. You may not purchase Products for resale unless prior arrangements are made with The Company, and we reserve the right to refuse or cancel your order, or to deny you any return rights, if we suspect you are doing so. 

6. PRICING AND PAYMENT:

6.1. All prices are in U.S. dollars unless otherwise expressly stated in writing. Where you are making payment in a currency other than U.S. dollars, the currency exchange rate that applies is the one in effect at the time your payment is processed, not the one that was in effect on the date that you placed your order. The Company reserves the right to change its standard prices without notice.

6.2. Prices are exclusive of, and you will pay: (a) all applicable federal, state, provincial and local taxes (including all applicable sales, use, consumption, goods and service, value added, and withholding taxes), unless you have provided The Company with an appropriate tax exemption certificate or number, and (b) all fees and charges related to customs, duties and brokerage. The Company may charge sales tax for sales of Products. Any sales tax charged will be indicated during the checkout process.

6.3. At the time that you order the Product, you must provide up-to-date, complete and accurate credit card information for a credit card that is valid and legally registered to you, or other payment information reasonably acceptable to The Company and/or The Company's payment processor. By ordering the Product, if paying by credit card, you authorize The Company to charge the credit card for the price of the Product upon shipment of such Product to you. If your order is a pre-order for Product that is not yet available, you may cancel such pre-order without penalty at any time up to the shipping date. The Company may utilize a payment processor to manage orders and payments. Your credit card statement may therefore reflect a third party name in relation to your order.

6.4. Where your credit card is rejected for any reason, you will be responsible for any fees and charges associated with such rejection, as well as interest on the amount owing. Interest will be the lesser of 1.5% per month or the maximum rate permitted by law, commencing on the date that your credit card was rejected. The Company may, in its sole discretion, delay shipment of, or cancel, your Product order where your credit card or other payment information is rejected.

7. Returns:

7.1. Griffin Effects is not responsible for, and will not return cables that are made per transaction on website and ordered incorrectly by purchaser - as an example: lengths miscalculated by customer or wrong connectors. We also do not accept returns because cable does “sound” as expected. All pre-modified and "made-to-order" sales are final . Made to order includes any modified pedal, pre-modified pedal, custom pedals, cable, amplifier, or guitar. Any exclusion are made only by Griffin Effects. Any warranty service must include copy of receipt and note stating nature of service required.

8. Backorder:

8.1. Any backordered items will cause a delay in shipping the items that are in stock. If the backordered item takes longer than 5 business days to return to stock, it is Griffin Effects sole discretion to ship in stock items before the backordered items arrive back in stock. If you wish to avoid any shipping delay, order any backordered items separately.

9. Copyright/Trademark:

9.1. Any company, product and service names used in this web site are for identification purposes only. All trademarks and registered trademarks are the property of their respective owners.
